Pathway Indie Virtual Production Media Incubator Terms and Conditions
Welcome to Pathway Indie Virtual Production Media Incubator ("Pathway Indie"). By participating in this program, you agree to the following terms and conditions:
Eligibility:
a. Filmmakers and technologists aged 18 years or older are eligible to submit their ideas to Pathway Indie.
b. All participants must have the legal authority to enter into agreements and provide accurate and complete information.
Submission Process:
a. Participants are required to submit their ideas through the official Pathway Indie submission portal.
b. Submissions must include a detailed project proposal, including information on the concept, virtual production requirements, and any other relevant details.
c. Participants may submit multiple ideas, but each idea must be submitted separately.
d. Submissions must be original works, and participants must hold the necessary rights and permissions for their intellectual property.
Intellectual Property and Revenue Share:
a. Participants retain full ownership of their intellectual property rights.
b. In exchange for the services provided by Pathway Indie, participants agree to share a percentage of the revenue generated by their intellectual property, as mutually agreed upon between Pathway Indie and the participant.
c. The revenue share percentage will be determined on a case-by-case basis, taking into consideration the scope and potential of the project.
Services Provided:
a. Selected participants will be awarded in-kind services, which may include virtual production studio days, virtual art department services business knowledge transfer and creative media mentorship.
b. The specific details and duration of the services will be agreed upon in a separate agreement between Pathway Indie and the participant.
c. Pathway Indie may also provide mentorship and guidance throughout the incubation period, offering industry expertise and feedback to help participants refine and develop their projects creatively and commercially.
Selection Process:
a. Submissions will be reviewed by a panel of experts appointed by Pathway Indie.
b. The selection process will consider factors such as creativity, feasibility, market potential, and alignment with Pathway Indie's objectives.
c. The decision of the panel will be final and binding, and no correspondence regarding the selection process will be entertained.
Confidentiality:
a. Pathway Indie and its representatives will treat all submitted ideas as confidential.
b. Participants are responsible for ensuring that their submissions do not contain any confidential or proprietary information that they wish to protect.
c. Pathway Indie cannot be held liable for any unauthorised use or disclosure of participants' ideas.
Termination:
a. Pathway Indie reserves the right to terminate the program or individual participant agreements at any time, with or without cause.
b. In case of termination, the obligations and rights of both parties up to the date of termination will remain in effect.
Indemnity:
Participants agree to indemnify and hold Pathway Indie, its employees, agents, and affiliates harmless from any claims, losses, or damages arising out of their participation in the program.
Governing Law and Jurisdiction:
These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
By participating in Pathway Indie, you acknowledge that you have read, understood, and agree to abide by these terms and conditions. Failure to comply with these terms may result in disqualification from the program.
